Mailbox Services Agreement

Terms and Conditions (effective **/**/**)

Agreement

Under the terms and conditions given here regarding the operations of A1MailBox services, we agree to provide you with a mailbox service, for the term specified at the premises in the agreement upon receiving payment.

Definitions

All the word appearing in bold throughout this document has a predefined meaning which we have explained here:

we” / “us” / “our”: refers to the A1MailBox franchisee located at the premises specified in the agreement.

you”/ “your”: refers to the person taking out an agreement or any additional individuals who are named on the agreement, or are authorised by you to collect any postal packets from the premises.

mailbox service”: refers to the provision of a personal mailing address for the receipt, holding, and forwarding of the postal packets.

mailbox number”: refers to the mailbox number that we issue as a mandatory part of your mailbox service address.

Personal” / “Business” / “Premier”: refers to the types of mailbox service.

term”: refers to the duration of your mailbox service agreement.

premises”: refers to the A1mailBox location provisioning your mailbox service.

agreement”: refers to the contract under which we provide you any mailbox service.

payment”: refers to the charges we apply to operate your mailbox service.

registration fee”: refers to a one-off charge applicable to cover the costs of setting up your mailbox service.

cancellation charge”: refers to a fee levied to cover any reasonable costs of administration incurred upon canceling the mailbox service.

late payment fee”: refers to a charge levied in the case where you exceed our payment terms.

notice date”: refers to the date on which we inform or advise you of any action affecting your mailbox service.

postal packets” / “items” / “mail”: refers to all mailing envelopes, padded bags, post, packages, parcels delivered to the premises via any postal service providers and couriers.

Franchise”: refers to the independently owned and operated franchise legal entity, trading as A1MailBox, at the premises, under the license issued by A1MailBox  (UK) Limited.

Service

  1. Your agreement consists of the following services:

1.1 We will provide you a mailing address at the premises along with a mailbox number, for which you will have to pay a registration fee.

1.2 If you need a physical mailbox and request one at the premises, we will provide you a key to that mailbox for which you will pay a fee there.

1.3 If you require a virtual address service and request one at the premises, you can collect the mail from the sales counter at the premises during opening hours.

1.4 Where we offer the availability of 24-hour access at the premises and you select this option, we shall provide you, for a fee, with door entry access.

1.5 You may make use of our mailbox service address as the Registered Address at Companies House, provided that you are in compliance with Companies House requirements and you pay us an annual fee for each company registered at that address.

1.6 We will receive/collect all your pre-paid postal packets which are addressed to your mailbox address on your behalf and, where applicable, will deposit them in your mailbox.

1.7 We will also receive/collect your postal packets of special, registered, or recorded deliveries on your behalf provided that, should you refuse to accept any such item, you will cover any costs or fees associated with its refusal or return.

1.8 We will receive/collect your postal packets that require cash on delivery, subject to you making arrangements for their receipt and payment by us, in advance, to our satisfaction.

Payment

  1. Your mailbox service charges are payable in full, in advance. We may make use of a third-party provider to process your payment.

 

  1. If you purchase the mailbox service online, you may cancel the order anytime and receive a full refund on the condition that we receive your cancellation request in writing to goodbye@***** within 24 hours of the purchase transaction. The mailbox service purchase is considered live and operational once we issue the mailbox number. Any cancellation of Personal mailbox service made up to 14 days after the first Payment, where the services have not been used, will incur a small cancellation charge to cover the administration costs. In all other cases, clause 26 will be applicable.

 

  1. Subscription customers:

4.1 In cases, where you select to pay in installments, you are approving us to take subsequent recurring payments automatically. This payment will be taken from your chosen credit/debit card that was registered at the time of purchase, or from any other valid card so provided.

4.2 We require valid credit/debit card details that you will provide us for the duration of the mailbox service. We will be sending you a notification of the payment amount, to your registered email address, on the due date of each payment.

4.3 If there is any change in pricing, we will notify you at least 60 days before implementation.

 

  1. If there are any payments or other sums, outstanding to us, we shall have a lien over any uncollected items until that payment is duly made.

 

  1. If cases where you fail to make a due payment, any postal packets received/collected after the expiry of the existing term may be, at our absolute discretion, retained for duration up to 30 days pending Payment. They will be released however on payment of any arrears along with a late payment fee.

 

Using your mailbox service

  1. Usage conditions of mailbox service

7.1 Holders of a “Personal” mailbox will be entitled to a primary box holder’s name including an additional different last name within the payment. A “Personal” mailbox may not be utilized for any commercial purposes.

7.2 Holders of a “Business” mailbox may have up to 4 names listed as the recipients of mail.

7.3 Holders of a “Premier” mailbox may have up to 10 names listed as the recipients of mail.

7.4 Any additional names listed in the mailbox service are subject to a monthly ‘Additional Names Fee’.

  1. You may choose to avail of a mail forwarding service. All the mail will be forwarded to any address nominated by you on an agreed-upon basis, for which we will be charging you a fee, in addition to the costs of expense like materials, postage or courier charges every time your mail is forwarded, which will be payable in advance.

 

  1. It will be your responsibility to notify us of any address change, in writing, and in advance along with Company Registered Address, or the contact details, or any changes to the named recipients of mail, and any resulting changes in the information required under section 22.

 

  1. You are authorising us and any of our representatives to sign for any of your deliveries addressed to your mailbox service address, at our discretion.

 

  1. We may at our absolute discretion refuse at any time to accept delivery of your any item for any reason, including, without limitation, that

11.1 There is insufficient or no prepaid postage; or

11.2 There is an outstanding payment; or

11.3 Delivery of any item, according to our opinion, is in breach of Condition 5; or

11.4 You are making use of the mailbox service for delivering any unreasonably large items of mail or any unreasonable volumes of postal packets; or

11.5 An item received is not addressed to any individual or business name listed as a mailing name within your agreement; or

11.6 If the mailbox service is being utilised for the storage or delivery of valuable items.

 

  1. Any oversized packages or mail received that is addressed to you will only be held for one week without extra charges, after that period a Package Holding Fee will be levied on each item held, per day.

 

  1. In cases where the mailbox service is utilized by you for a regular receipt of parcels or any significant volumes of mail which exceeds the capacity of the mailbox allocated to you, a Mail Handling Fee will be applicable at our

 

  1. The mailbox service cannot be used for the storage or delivery purpose of any items of high value. We do not have any knowledge of the value of any items of mails and will not accept any notifications of the value. Our liability concerning any damages or loss will be limited to £5 per claim and in aggregate shall not exceed the amount of payment in any term.

 

  1. Subject to identification proof, you may confirm via the telephone or an email to find out if you currently have any mail. We are not obligated to open, read the mail, or tell who it is from.

 

  1. If you make use of the mailbox service address for an advertisement undertaken via any third parties including but not limited to print or online directories, search engine portals, any other websites, or on your own, payment will be levied to cover the entire advertising period during which the mailbox service address was displayed.

 

  1. You undertake to not:

17.1 make use of the mailbox service for any purpose that in our considered opinion might be deemed illegal or antisocial and if that does so it acknowledges that we may report it to any relevant authority; and

17.2 send or deliver or permit to be sent over or delivered, any illegal, defamatory, obscene, dangerous, or any sort of bulky object or material to the premises.

 

  1. If you fail to collect any item within 30 days of being notified about it, then you hereby authorise us to either destroy such items or; at your expense, return it to you at your last known address or to the sender at any time at our absolute discretion, after the notice period without further notice.

 

  1. Any person in possession of your allocated mailbox key is deemed authorised by you and we will not be required to enquire such a person regarding his authority to access the mailbox. We will not be held accountable for any loss or damage incurred because of the key being in the possession of an unauthorised person.

 

  1. We shall not be held accountable for any indirect or consequential loss, including any loss of profit, nor for the liabilities or any costs, claims, demands, or expenses arising from an event beyond our control including but not limited to, any loss, damages, delays or mis-deliveries on the part of Royal Mail or any other carriers.

 

  1. You will indemnify us against expenses, liabilities, losses, claims, or any proceedings that we may incur arising from your usage of the mailbox service, except to the extent where the same is caused by our

Identification verification

  1. a) To Initiate the mailbox service, we require you to provide us with:

22.1 the nature of the business to be carried out or the reason for rental where the rental is not carried out for business purposes. A business is defined as an activity involving the sale of any goods and/or services;

22.2 the full name, address, email address, and telephone number of all the listed persons for whom the mail is to be received, held, or forwarded;

22.3 two (original) forms of identification, or its suitably certified copies, for all listed persons for whom mail is to be received, held or forwarded, of the particular type that we approve, including an up-to-date ‘proof of identity’ and a ‘proof of address.’ A full list is held at ****url****. We may disclose this information if so requested by any appropriate authority or if so required for the pursuit of legal action.

 

  1. b) In case you fail to produce valid forms of identification, we may refuse to accept the delivery of items or return them to the sender and/or terminate the agreement at our sole discretion. In this case, there will be no refund for the payment.

 

  1. c) We may refuse to offer the mailbox service to a minor at our sole discretion.

 

  1. You agree with us to carry out verification checks, as may reasonably be required under the Money Laundering Regulations 2017 (as updated from time to time), local legislation, or any other law. These checks may be electronic

 

  1. You will be providing us with the required information on identification, address, the purpose of the mailbox rental, and any other areas where information is required for us to meet our obligations under the current legislation before we can release any of the postal packets to you.

 

  1. We are obligated to maintain accurate data and current details of you as required by the relevant UK authorities. These requirements may change periodically. You will be promptly advised of any changes in details and provided all information that is reasonably requested; and you accept that postal packets may be withheld and/or inspected at our sole discretion, pending investigation of the information provided.

Termination

  1. You have the right to terminate the mailbox service at any time by giving us 30 days’ written notice via email to goodbye@*****. There will be no refunds granted if you terminate the agreement early. There will be no refund made for part-month cancellations. We may at any time terminate the agreement by giving 30 days’ notice in writing to your email address that is registered with us.

 

  1. In case you breach any of these Terms and Conditions, we reserve the right to terminate your mailbox service Following termination, you are hereby authorising us to either retain or destroy, at our absolute discretion, any postal packets addressed to you or any items that are on-premises as your property or return them to the sender or your last known address, at your own risk.

 

  1. In case you are in breach of condition 17 of these Terms and Conditions, then we reserve the right to terminate your mailbox service effective immediately. In such an instance there will be no refund granted for the payment.

 

  1. In case you fail to return the key(s) to your mailbox to us or our representatives promptly upon the termination of the agreement, you will be held liable to pay a fee. In case you require a replacement key, it will be provided with an additional fee.

 

  1. In case we are unable to provide the mailbox service at the designated premises any longer, we will reserve the right to:

30.1 transfer the mailbox service to alternative premises for the remaining term, or

30.2 terminate mailbox service forthwith. In this instance, you will be liable to pay fees up to the date of termination of service. We will return any balance of any payment for a longer pre-paid term, minus any amounts that you owe us.

Legal

  1. General Data Protection Regulations 2018 (the Act)

31.1 Any personal information that you provide to us regarding the mailbox service may be utilised to verify identity. All your information will be retained securely on our systems, according to our Privacy Policy Notice.

31.2 We may choose to share your personal information, at our discretion with other A1MailBox companies and their trading partners for the exclusive purpose of provision of service and/or virtual offices and related services. Any of your personal information will not be shared with any other party without your express permission except where we are required to do so by law or regulation.

31.3 We will be storing your personal information and verification thereof according to the relevant legislation which after a specified duration will be destroyed. The Act confers the rights of access to specific information retained by us to prevent or detect the offenses of fraud. We reserve the right to share any information collected by the Police to assist with investigations and/or enquiries as well as other public or private sector agencies or representative bodies for complying with legislation and under the relevant statutory and regulatory obligations.

 

  1. 1 The agreement and these Terms and Conditions mentioned here shall be governed by and construed under the law of England and Wales. Unless there is an alternative dispute resolution procedure that is agreed between you and us, both parties agree to submit to the exclusive jurisdiction of the Courts of England and Wales concerning any dispute that arises out of or under this agreement.
    • We reserve the right to assign any of our rights or benefits hereunder.

32.3 You do not have any rights to assign any of your rights or benefits hereunder.

32.4 These Terms and Conditions shall prevail notwithstanding any arising conflict with the terms and conditions of any order or contract concerning the mailbox service or any of the other services we offer.

 

  • We reserve the right to change these Terms and Conditions from time to time. In this event, we will give a 30-days’ notice to your registered email address in writing.
